Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Morzai website, credits system, projects, AI-enabled content services, downloadable skills, and related services (collectively, the “Services”), provided by LUMORA AI PTE. LTD. (“Morzai,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. 1. Who May Use the Services You may use the Services only if you are legally able to enter into a binding agreement under applicable law. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. 2. Our Services Morzai provides online tools and AI-enabled workflows that may allow users to submit prompts, instructions, images, and other content to generate, transform, edit, enhance, or export images and videos, including through templates, agent-based workflows, and related features. We may update, modify, suspend, or discontinue any part of the Services at any time, subject to applicable law. 3. Accounts You agree to provide accurate and complete information, keep your credentials secure, update information when it changes, and remain responsible for activities under your account. Notify us promptly if you believe your account has been used without authorization. 4. Credits, Billing, and Refunds Certain features require credits. Credits have no cash value, are non-transferable, and are non-refundable except as described here or required by law. You may request a refund only if the request is submitted within fourteen (14) days of purchase and no credits from that purchase have been used. If any credits have been used, the purchase is non-refundable unless otherwise required by applicable law. We may reject requests involving fraud, abuse, chargeback misuse, or policy violations. 5. License Subject to your compliance with these Terms, Morzai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for internal personal or business use. You may not copy, sell, lease, sublicense, commercially exploit, reverse engineer, interfere with, use to build a competing service, or use the Services in violation of applicable law, except where a restriction is prohibited by law. 6. User Content and Projects You may submit prompts, instructions, images, video, and other materials through the Services (“User Content”). You retain your rights in User Content, but grant Morzai a limited license to host, copy, transmit, process, and use it as necessary to provide the Services, create or return requested outputs, maintain security and operations, comply with law, and enforce these Terms. You are solely responsible for User Content and represent that you have all rights, permissions, and consents necessary to submit and process it. Content you upload or generate may be associated with a project so that you can access, manage, reuse, download, or delete it. You may delete a project at any time, subject to limited retention described in our Privacy Policy. For face-swap or other media-transformation features, you represent and warrant that the depicted person is you or that you have obtained explicit, informed, and revocable consent from that person (or their legal guardian if they are a minor). You are solely liable for unauthorized use of another person’s face or likeness and shall indemnify Morzai against resulting claims. 7. AI Processing, Safety Review, and Outputs The Services may use AI systems to generate, transform, edit, enhance, or return outputs based on your inputs. Outputs may be incomplete, inaccurate, or unsuitable, and you are responsible for reviewing them before relying on or publishing them. Morzai may automatically review content when you request an export. If content appears to violate these Terms, applicable law, or safety requirements, export may be blocked and we may take other appropriate action, including suspension or termination. We do not guarantee that automated review will identify every violation. We do not use your prompts, uploaded images, project media, or outputs to train our AI models. Third-party AI systems used with the Services may have their own terms, privacy practices, safety measures, and limitations. 8. Third-Party Services and Your Own Environment Some Services may rely on third-party providers. You may also choose to deploy downloaded skills or use third-party agents, models, plugins, connectors, workflows, or environments. Such systems are subject to their own terms, privacy practices, technical limitations, and security measures. To the maximum extent permitted by law, Morzai is not responsible for data leakage, deletion, corruption, unauthorized disclosure, interruption, incompatibility, or other damage arising from non-authorized third-party systems. 9. Acceptable Use • Violate any law or regulation, infringe intellectual-property, privacy, publicity, or other rights, or submit content you do not have the right to use. • Transmit malware or harmful code, engage in fraud, abuse, harassment, deceptive conduct, or bypass security or access controls. • Upload or process the face or likeness of any third party without explicit prior consent, including public figures, celebrities, politicians, or minors. • Use media-transformation services to generate, distribute, or facilitate non-consensual sexual content, altered media intended to defame, or deepfakes designed to harass or degrade individuals. • Use face-swap services to impersonate individuals for fraudulent purposes, deceive the public, or bypass identity-verification systems. • Disrupt or impair the Services or related infrastructure. 10. Intellectual Property The Services, including the website, software, skills, branding, interfaces, text, graphics, and related content, are owned by or licensed to Morzai and protected by applicable intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. 11. Feedback If you provide feedback, suggestions, or ideas, you grant Morzai the right to use them without restriction or compensation. 12. Suspension and Termination We may suspend or terminate access if you violate these Terms, law requires it, your use creates legal, security, operational, or reputational risk, or fraud, abuse, chargeback misuse, or payment/security issues are suspected. Sections that by their nature should survive termination will survive. 13. Disclaimer of Warranties To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee availability, security, accuracy, reliability, or suitability of any output or feature. 14. Limitation of Liability To the maximum extent permitted by law, Morzai and its representatives will not be liable for direct, indirect, special, incidental, consequential, punitive, or other damages arising out of or related to the Services or outputs. Total liability will not exceed the amount you paid to Morzai for the Services giving rise to the claim during the twelve (12) months preceding the event. These limits do not apply where prohibited by applicable law. 15. Indemnification You agree to defend, indemnify, and hold harmless Morzai, LUMORA AI PTE. LTD., and their affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, User Content, violation of these Terms or law, or violation of third-party rights. 16. Privacy and Cookies Your use of the Services is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. 17. Governing Law and Disputes Except to the extent prohibited by applicable law or non-waivable consumer rights, these Terms are governed by the laws of Singapore, and you consent to the exclusive jurisdiction of the courts of Singapore. To the maximum extent permitted by law, disputes must be brought individually and not as a class, collective, representative, mass, consolidated, or private attorney general action. 18. Changes to These Terms We may update these Terms from time to time by posting a revised version and updating the “Last Updated” date.
