Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Morzai website, cloud-based project features, downloadable skills, credits system, and related services (collectively, the “Services”), provided by LUMORA AI PTE. LTD. (“Morzai,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who May Use the Services
You may use the Services only if you are legally able to enter into a binding agreement under applicable law.
If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. Our Services
Morzai provides an online service through which users may:
- create accounts;
- purchase credits;
- download skills;
- use certain AI-enabled skill functionality; and
- receive installation and usage guidance for deployment in their own environments, including local environments.
The Services may also include cloud-based project features that allow you to create, manage, and delete projects through our website, upload original images to a project, and access processed images generated through the Services.
We may update, modify, suspend, or discontinue any part of the Services at any time, subject to applicable law.
3. Accounts
You may need an account to access certain features.
You agree to:
- provide accurate and complete information;
- keep your account credentials secure;
- promptly update your information if it changes; and
- remain responsible for activities under your account.
Please notify us promptly if you believe your account has been used without authorization.
4. Credits, Billing, and Refunds
Credits
Certain features require the purchase and use of credits. Each call or use of a skill may consume a specified number of credits.
Unless required by law or expressly stated otherwise:
- credits have no cash value;
- credits are non-transferable; and
- credits are non-refundable except as set out below.
Payment
Prices, billing terms, and payment methods will be shown at checkout or elsewhere in the Services. Payment processing is handled by third-party providers.
Refunds
You may request a refund only if both of the following conditions are met:
- the request is submitted within 7 days of purchase; and
- no credits have been used at all.
If any credits have been used, the purchase is non-refundable unless otherwise required by applicable law.
We may reject refund requests that do not meet these conditions or where fraud, abuse, chargeback misuse, or policy violations are suspected.
5. License
Subject to your compliance with these Terms, Morzai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal personal or business use.
Except as expressly permitted, you may not:
- copy, sell, lease, sublicense, or commercially exploit the Services;
- reverse engineer, decompile, or attempt to derive source code from the Services, except where prohibited by law from restricting such activity;
- interfere with the integrity, security, or performance of the Services;
- use the Services to build or support a competing product or service; or
- use the Services in violation of applicable law.
6. User Content
You may submit prompts, images, instructions, and other materials through the Services (“User Content”).
If you use cloud-based project features, you may also submit original images, project identifiers, and related project metadata through the Services. You authorize us to host and store such content as necessary to provide project functionality through your account.
You retain your rights in User Content, but you grant us a limited license to host, copy, transmit, process, and use it as necessary to:
- provide the Services;
- generate or return outputs requested by you;
- maintain security and service operations;
- comply with legal obligations; and
- enforce our agreements.
You are solely responsible for your User Content and represent that you have all rights and permissions necessary to submit it.
7. AI Processing and Outputs
The Services may use AI systems to generate, transform, edit, or return outputs based on your prompts, images, and other inputs.
You acknowledge that:
- outputs may be incomplete, inaccurate, or unsuitable for your intended use;
- outputs may vary depending on the inputs, configurations, or systems used; and
- you are responsible for reviewing and evaluating outputs before relying on them.
We do not use your prompts, uploaded images, or outputs to train our AI models.
Where cloud-based project features are available, we may also store processed images generated through the Services so that you can access, manage, download, and delete them through your account, subject to these Terms and our Privacy Policy.
8. Third-Party Services and Your Own Environment
Some skills and cloud-based project features may rely on third-party services, including AI providers such as Google.
When this occurs, your prompts and uploaded images may be transmitted to the relevant provider to enable the requested functionality.
You may also choose to deploy, install, or use downloaded skills with your own environment, third-party agents, third-party models, plugins, connectors, or workflows.
Your use of such third-party systems is at your own risk. Those systems are subject to their own terms, privacy practices, technical limitations, and security measures.
Disclaimer for Non-Authorized Third-Party Systems
To the maximum extent permitted by law, Morzai is not responsible for any data leakage, accidental deletion, corruption, unauthorized disclosure, service interruption, incompatibility, or other damage arising from your use of any third-party agent, model, plugin, environment, workflow, or tool that is not officially provided, operated, or authorized by Morzai.
9. Acceptable Use
You may not use the Services to:
- violate any law or regulation;
- infringe intellectual property, privacy, or other rights;
- upload or process content you do not have the right to use;
- transmit malware or harmful code;
- engage in fraud, abuse, harassment, or deceptive conduct;
- bypass security or access controls; or
- disrupt or impair the Services or related infrastructure.
10. Intellectual Property
The Services, including our website, software, skills, branding, interfaces, text, graphics, and related content, are owned by or licensed to Morzai and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
11. Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use them without restriction or compensation.
12. Suspension and Termination
We may suspend or terminate your access to the Services if:
- you violate these Terms;
- we are required to do so by law;
- your use creates legal, security, operational, or reputational risk; or
- fraud, abuse, chargeback misuse, or payment/security issues are suspected.
You may stop using the Services at any time.
Where available, you may delete stored project images by deleting the relevant project, and you may request deletion of account-related personal information by closing or deleting your account, in each case subject to applicable legal and operational retention requirements and our Privacy Policy.
Sections that by their nature should survive termination will survive, including those relating to payment, intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and class action waiver.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We do not guarantee that:
- the Services will always be available, secure, or error-free;
- any skill will function correctly in every user environment; or
- any output will be accurate, reliable, or suitable for your needs.
Installation and use of downloaded skills in your own environment are your responsibility.
14. Limitation of Liability
In addition to other limitations and exclusions in these Terms, to the maximum extent permitted by applicable law, in no event will Morzai, LUMORA AI PTE. LTD., or our directors, officers, employees, agents, licensors, service providers, or other representatives be liable for any direct, indirect, special, incidental, consequential, or punitive damages, or any other damages of any kind, arising out of or related to the Services, the website, the skills, the software, or any outputs.
Our total liability, whether in contract, warranty, tort (including negligence), or otherwise, will not exceed the total amount you paid to us for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such liability.
These exclusions and limitations of liability apply to the fullest extent permitted by applicable law and survive cancellation, suspension, or termination of your use of the Services.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Morzai, LUMORA AI PTE. LTD., and their affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
16. Privacy and Cookies
Your use of the Services is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
Where required by applicable law, we may request your consent before using non-essential cookies or similar technologies, and you may manage or withdraw that consent through available cookie settings or your browser settings.
17. Governing Law, Forum, and Waiver of Class Actions
Except to the extent prohibited by applicable law or by any non-waivable rights you may have under applicable consumer protection laws, these Terms are governed by the laws of Singapore, without regard to conflict of laws principles, and you consent to the exclusive jurisdiction of the courts of Singapore with jurisdiction.
In any action or proceeding related to these Terms, the Services, the website, the skills, or the software, venue shall lie exclusively in the applicable courts identified above, and in no other location. In any such action or proceeding, you shall appear for deposition at your own expense in the applicable forum at such time as is either mutually agreed upon or ordered by the court.
To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, the website, the skills, or the software must be brought and maintained solely in an individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, representative, mass, consolidated, or private attorney general action or proceeding.
To the maximum extent permitted by applicable law, each party waives any right to commence, maintain, participate in, or recover relief through any class, collective, representative, mass, consolidated, or private attorney general action or proceeding against the other party in connection with these Terms, the Services, the website, the skills, or the software.
Unless all parties otherwise agree in writing, the court may not consolidate the claims of more than one person or otherwise preside over any form of a class, collective, representative, mass, or consolidated proceeding, and may award relief only as necessary to resolve the individual claim of the party seeking relief. The parties acknowledge that this waiver is a material and essential basis of these Terms.
To the maximum extent permitted by applicable law, each party waives any right to a trial by jury in any action or proceeding arising out of or relating to these Terms, the Services, the website, the skills, or the software.
If any portion of the class action, collective action, representative action, mass action, consolidated action, or private attorney general waiver in this section is found to be unlawful, void, or unenforceable with respect to a particular claim or request for relief, then that portion shall be severed and shall not apply to that claim or request for relief, and such claim or request for relief may proceed only to the minimum extent necessary under applicable law. The remainder of this section and all other dispute resolution, forum selection, governing law, and jury trial waiver provisions in these Terms shall continue in full force and effect to the maximum extent permitted by law.
18. Changes to These Terms
We may update these Terms from time to time. If we do, we will post the revised version on our website and update the “Last Updated” date.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.
